By accessing, using, or engaging services through this website or through KM BAZAAR LLC (“PrepChicago,” “we,” “our,” “us”), you agree to be bound by these Terms and Conditions. If you do not agree, you may not access or use our services.

These Terms apply to all users, clients, visitors, and businesses utilizing our ecommerce prep, logistics, storage, and fulfillment services.

KM BAZAAR LLC provides ecommerce preparation and logistics services including, but not limited to:

• Product receiving and inspection
   
• Labeling and relabeling
   
• Bundling and kitting
   
• Packaging and repackaging
   
• Storage and warehousing
   
• Palletizing
   
• Shipping coordination
   
• Fulfillment preparation for platforms such as Amazon, Walmart, Shopify, and other ecommerce marketplaces
   

Services may vary based on client agreements and service plans.

Clients agree to:

• Provide accurate shipment information and documentation
   
• Ensure products are legal, compliant, and permitted for commerce
   
• Comply with marketplace rules (Amazon, Walmart, Shopify, etc.)
   
• Ensure proper product labeling, safety standards, and certifications
   
• Not ship prohibited, illegal, hazardous, or restricted items without prior written approval
   

KM BAZAAR LLC is not responsible for marketplace suspensions, listing removals, compliance violations, or platform enforcement actions.

Clients may not send:

• Illegal goods
   
• Counterfeit or infringing products
   
• Hazardous materials without written approval
   
• Controlled substances
   
• Weapons or weapon components
   
• Flammable or explosive materials
   
• Stolen property
   

We reserve the right to refuse, return, or dispose of prohibited items at the client’s expense.

While reasonable care is taken in handling and storage, KM BAZAAR LLC is not an insurer of stored goods.

Limitation of liability:

• KM BAZAAR LLC is not responsible for loss due to fire, flood, theft, natural disasters, carrier damage, or acts of God.
   
• Liability for any lost or damaged items is limited to the service fees paid for the affected shipment, unless otherwise required by law.
   

Clients are responsible for carrying their own product insurance.

• All services are subject to posted or agreed pricing
   
• Invoices must be paid on time or late fees can apply
   
• Late payments may result in service suspension or removal of inventory
   
• Storage fees apply to inventory
   
• Unpaid balances may result in lien rights over stored inventory as permitted by Illinois law
   

KM BAZAAR LLC reserves the right to adjust pricing with notice.

Inventory left unpaid or unclaimed beyond 30 days may be considered abandoned and may be disposed of, sold, or liquidated to recover costs, without liability to the client.

KM BAZAAR LLC is not responsible for:

• Carrier delays
   
• Lost shipments
   
• Transit damage
   
• Customs delays
   
• Platform intake errors (Amazon/Walmart warehouse errors)
   

All carrier claims must be handled with the shipping carrier directly unless otherwise agreed in writing.

All website content, branding, logos, text, graphics, and materials are the intellectual property of KM BAZAAR LLC and may not be used without written permission.

To the fullest extent permitted by law, KM BAZAAR LLC shall not be liable for:

• Lost profits
   
• Business interruption
   
• Platform account suspensions
   
• Ecommerce platform penalties
   
• Indirect or consequential damages
   
• Data loss
   
• Compliance failures by marketplaces
   

Total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

Client agrees to indemnify and hold harmless KM BAZAAR LLC, its owners, employees, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

• Product defects
   
• Regulatory violations
   
• IP infringement
   
• Illegal goods
   
• Platform violations
   
• Client-provided misinformation
   

KM BAZAAR LLC reserves the right to refuse service or terminate any client relationship at any time for violations of these Terms, non-payment, risk exposure, or compliance concerns.

These Terms shall be governed by and interpreted under the laws of the State of Illinois, United States.

We reserve the right to modify these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
